Terms & Conditions
Last updated: 24 September 2026
Welcome to Tapezy. These Terms & Conditions ("Terms") are a legal agreement between you and Tapezy ("Tapezy", "we", "us", "our") and govern your use of the website tapezy.in, the Tapezy dashboard, the QR codes and customer-facing pages we generate, and every related service (together, the "Services"). By creating an account, starting a free trial, paying for a plan or otherwise using the Services, you agree to these Terms, our Privacy Policy and our Refund & Cancellation Policy. If you do not agree, please do not use the Services.
1. Definitions
"You" / "Business" – the person or business that creates a Tapezy account and uses the dashboard. If you sign up on behalf of a company, firm or shop, you confirm you are authorised to bind it to these Terms.
"Customer" – any member of the public who scans one of your Tapezy QR codes or opens one of your Tapezy links (for example to get a review, join your queue or view your menu).
"Plan" – a free trial or paid subscription for one Tapezy product, billed monthly or yearly.
"Credits" – units used to send SMS or WhatsApp messages from the Waiting Queue and QR Menu products. One message uses one credit.
"Your Content" – everything you add to Tapezy: business details, logos, banners, menu items, photos, keywords, custom messages and instructions.
2. Our Services
Tapezy is a QR-code platform for local businesses in India. It currently offers three independent products, each with its own plans and billing:
Tapezy AI Review Assistant – a QR code and review page that uses artificial intelligence to suggest review text your Customers can copy and post themselves on your Google Business Profile, along with scan analytics.
Tapezy Digital Waiting Queue – a QR-based virtual queue where Customers join with their name and mobile number, see their token and estimated wait, and receive SMS/WhatsApp alerts; your staff manage it from a passkey-protected page.
Tapezy QR Menu & Ordering – a digital menu with, depending on the plan, table ordering, pickup and delivery orders, order alerts, AI-written dish descriptions and AI-generated dish images.
Features, limits (such as languages, keywords, credits, record history, locations and staff numbers) and prices for each Plan are described on our Pricing page and at checkout. We may improve, add or change features over time, as described in Section 17.
3. Eligibility and Your Account
You must be at least 18 years old and capable of entering into a binding contract under Indian law. The Services are intended for business use, not personal consumer use.
You sign up with your name, email address and an Indian (+91) mobile number, which we verify by one-time password (OTP). You may then log in by OTP, by email and password, or with Google or Apple sign-in.
You must give accurate, current information (including your business name, address, Google listing and billing details) and keep it up to date from your dashboard.
You are responsible for everything that happens under your account, including actions of staff you share a queue passkey or login with. Keep your password, OTPs and passkeys confidential and tell us immediately at care@tapezy.in if you suspect unauthorised access.
One account may hold several business profiles, queue locations and menu locations. Each profile or location is attached to its own Plan.
4. Free Trials
Each product may offer a free trial (currently 14 days) that can be used once per account, per product. No payment card is needed to start a trial.
Trials may include limited credits and features, as shown when you start them. We send reminders before a trial ends.
When a trial ends without a paid Plan, that product stops working for your Customers until you subscribe. Your settings and data are kept so you can continue where you left off.
We may refuse or withdraw a trial where we reasonably believe it is being misused, for example by creating multiple accounts to obtain repeated trials.
5. Plans, Pricing and Payments
Prices are shown in Indian Rupees (INR) on the Pricing page and at checkout. The amount shown at checkout – including any discount, applicable taxes and adjustments – is the amount you pay.
All online payments are processed by our payment partner Razorpay using UPI, cards, net banking or wallets. Tapezy never sees or stores your full card or bank details. Razorpay's own terms and privacy policy also apply to your payment.
Auto-renewal: monthly and yearly Plans renew automatically at the end of each billing period and are charged to your chosen payment method until you cancel. You authorise these recurring charges when you subscribe.
Where we agree to accept an offline or cash payment, the Plan runs for the period paid for and does not renew automatically.
A PDF invoice for every payment is available under Dashboard → Billing. Please make sure your billing name, address and GSTIN (if any) are correct before paying.
Coupons are promotional, may be limited to specific Plans, periods or a number of uses, have no cash value and cannot be exchanged or combined unless stated.
Price changes: we may change prices for future billing periods. We will notify you in advance by email or in the dashboard; the new price applies from your next renewal after the notice. If you do not agree, you can cancel before that renewal.
6. Upgrades, Downgrades, Pausing and Cancellation
You can upgrade, downgrade, switch between monthly and yearly billing, pause, resume or cancel a Plan from Dashboard → Billing.
Upgrades take effect immediately. Any amount due is shown at checkout before you pay.
Downgrades and billing-cycle changes may be scheduled to start at the end of your current paid period, so you keep what you have already paid for.
When you cancel, auto-renewal stops and your Plan stays active until the end of the period you have paid for. There is no cancellation fee.
Refunds are governed by our Refund & Cancellation Policy.
7. Failed Payments and Service Pause
If a renewal payment fails, we will notify you by email with a link to update your payment method and may send further reminders. Until payment succeeds, the affected product may be paused for your Customers (for example, your QR code may show that the service is unavailable). Paying the outstanding amount or reactivating from Dashboard → Billing restores the service. Plans left unpaid may eventually be cancelled.
8. Message Credits (Queue and Menu)
Plans that include messaging come with a monthly credit allowance that refreshes each billing month. Unused monthly allowance does not carry over.
You may buy extra credits from your dashboard at the price shown. Purchased credits do not expire at the end of the month while your account remains active, but they have no cash value and cannot be transferred or refunded.
When credits run out, your queue or menu keeps working but SMS/WhatsApp alerts pause until you top up or your allowance refreshes.
Message delivery depends on telecom operators, WhatsApp and the recipient's device and settings (such as DND registration or an inactive number). A credit is used once a message is submitted for delivery, even if the operator does not deliver it.
9. Special Terms for the AI Review Assistant
Customers post their own reviews. Tapezy only suggests text. The Customer decides whether to use, edit or ignore it and posts it from their own Google account. Tapezy never posts, submits or manages reviews on anyone's behalf.
Genuine reviews only. You must use the review QR code and links only with real Customers who have actually experienced your business. You must not write or post reviews about your own business, ask staff, family or paid persons to post reviews, offer discounts, gifts or other incentives in exchange for reviews, selectively show the QR only to guarantee positive reviews in a misleading way, or use the Services to post reviews about any other business.
You must comply with Google's review and Maps content policies, the Consumer Protection Act, 2019 and related rules and standards on online reviews, and all other applicable laws. Google may filter, hide or remove reviews at its sole discretion; Tapezy has no control over this and is not responsible for it.
AI output. Review suggestions are generated automatically by third-party AI models from the business details, categories, keywords and instructions you provide. They may occasionally be inaccurate, repetitive or unsuitable. You are responsible for the keywords and custom AI instructions you set, and must not instruct the AI to make false, misleading, defamatory or unlawful claims (for example about competitors, health outcomes or guarantees).
We do not guarantee any number of reviews, any rating, any ranking on Google or any increase in business.
10. Special Terms for the Digital Waiting Queue
Customers join your queue voluntarily by scanning your QR code or being added by your staff at their request. You must only add people who have asked to be in your queue, and must not use their phone numbers for any other purpose (such as marketing) through Tapezy.
Estimated wait times and positions are approximate and depend on the average serving time you set and how your staff update the queue. Tapezy is not responsible for missed turns, delays or disputes between you and your Customers.
Keep your staff passkey secure and change it if it may have been shared with the wrong person.
Any custom message text you write must be accurate, lawful and comply with the approved message templates we support.
11. Special Terms for QR Menu & Ordering
You are solely responsible for your menu: item names, descriptions, prices, taxes, delivery charges, veg/non-veg and allergen information, availability, portion sizes and images, and for holding all licences required for your business (such as FSSAI registration).
AI-written descriptions and AI-generated images are illustrative. Review them before publishing and make sure they do not misrepresent your food.
Tapezy is not a party to orders. Orders placed through your menu are contracts between you and your Customer. Payment for food and other items is made directly to you (for example in cash or to your own UPI ID); Tapezy does not collect, hold or refund these payments. You are responsible for preparing, serving and delivering orders, handling cancellations, refunds and complaints, and complying with food-safety and consumer laws.
Delivery radius checks, menu hours and order alerts are tools to help you; you remain responsible for accepting and fulfilling orders.
12. Your Content
You keep ownership of Your Content. You grant Tapezy a non-exclusive, royalty-free licence to host, store, copy, process, display and transmit Your Content only as needed to operate, secure and improve the Services – for example to show your menu and review pages publicly, generate AI text, send messages and create QR codes.
You confirm that you own or have permission to use Your Content (including logos, photos and brand names) and that it does not infringe anyone's rights or break any law.
Public pages such as your review page and menu can be seen by anyone with the link or QR code, and public menus may be indexed by search engines.
We may remove or disable content that we reasonably believe breaches these Terms or the law.
13. Your Customers' Data
When your Customers join a queue or place an order, they share personal data (such as name, mobile number and delivery address) so that you can serve them. For this data, you decide why it is collected and Tapezy processes it on your behalf to provide the Services. You must have a lawful reason to process it, be transparent with your Customers, keep any exported data secure, use it only for the purpose it was given and comply with the Digital Personal Data Protection Act, 2023 and other applicable laws. See our Privacy Policy for more.
14. Acceptable Use
You must not, and must not allow anyone else to:
use the Services for any unlawful, fraudulent, deceptive or harmful purpose, or to promote illegal goods or services;
generate or post fake, incentivised or misleading reviews, or impersonate another person or business;
send spam, unsolicited messages or content that is abusive, obscene, hateful, defamatory or infringing;
upload viruses or malicious code, or try to gain unauthorised access to the Services, other accounts or our systems;
scrape, copy, reverse-engineer, resell or build a competing product from the Services, or bypass usage limits, rate limits or security measures;
misuse OTPs, create accounts using other people's phone numbers or emails, or create multiple accounts to abuse trials or coupons;
overload or interfere with the normal operation of the Services.
15. Third-Party Services
The Services rely on trusted third parties, including Razorpay (payments), MSG91 and WhatsApp (SMS and WhatsApp messages), email providers, OpenAI (AI text and images), Google (Maps, Places, business search and sign-in), Apple (sign-in) and cloud hosting providers. Their availability and terms are outside our control. We are not responsible for outages, delays, changes or decisions made by these providers, including Google's handling of reviews or WhatsApp's template approvals.
16. Intellectual Property
The Tapezy name, logo, website, software, designs, templates and all related intellectual property belong to Tapezy or its licensors. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Services for your own business during your Plan. No other rights are granted. If you send us feedback or suggestions, we may use them freely without any obligation to you.
17. Availability and Changes to the Services
We work hard to keep Tapezy available and reliable, but we do not promise that the Services will be uninterrupted, error-free or available at all times. We may carry out maintenance, and we may add, change or remove features, AI models, message templates or integrations. If we remove a core feature of a paid Plan you are using, we will give you reasonable notice where possible.
18. Suspension and Termination
You may stop using the Services and cancel your Plans at any time. To close your account completely, email us at care@tapezy.in from your registered email address.
We may suspend or terminate your account, or any product, immediately and without refund if you breach these Terms (especially Sections 9, 11 and 14), fail to pay, provide false information, or if we are required to by law or by a competent authority, or to protect our Customers, users or systems.
After termination, your public pages and QR codes stop working. We delete or anonymise your data as described in our Privacy Policy, except where we must keep it by law.
Sections that by their nature should survive termination (including payment obligations, content licences needed to wind down, disclaimers, limitation of liability, indemnity and governing law) will survive.
19. Disclaimers
The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Tapezy disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not guarantee any business results, including the number or rating of reviews, queue outcomes, order volumes or revenue.
20. Limitation of Liability
To the fullest extent permitted by law, Tapezy will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, goodwill, data or business opportunities, arising from or related to your use of the Services. Tapezy's total liability for all claims relating to the Services is limited to the amount you paid to Tapezy for the affected product in the three (3) months before the event giving rise to the claim.
21. Indemnity
You agree to indemnify and hold harmless Tapezy and its team from any claims, losses, penalties, damages and expenses (including reasonable legal fees) arising out of Your Content, your use of the Services, your dealings with your Customers (including orders, reviews and messages), or your breach of these Terms or any law.
22. Governing Law and Disputes
These Terms are governed by the laws of India. We encourage you to contact us first so we can try to resolve any concern amicably. Subject to that, the courts at Ahmedabad, Gujarat, India will have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Services.
23. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date at the top shows when they last changed. For material changes we will notify you by email or in your dashboard before they take effect. Continuing to use the Services after the changes take effect means you accept the updated Terms.
24. General
If any part of these Terms is found unenforceable, the rest remains in full effect.
Our failure to enforce any right is not a waiver of that right.
You may not transfer your account or these Terms without our written consent. We may transfer them as part of a merger, acquisition or sale of assets.
We are not responsible for delays or failures caused by events beyond our reasonable control, such as network or power failures, actions of third-party providers, natural disasters or government actions.
These Terms, together with the Privacy Policy and Refund & Cancellation Policy, are the entire agreement between you and Tapezy about the Services.
